Monai Terms of Service

Monai provides a digital banking platform that enables businesses to:

• –Open multi-currency accounts with virtual IBANs
• –Send and receive payments globally via SWIFT, SEPA, and local transfer networks
• –Issue and manage physical and virtual debit cards
• –Hold and transact in stablecoins on supported blockchain networks
• –Earn yield on idle balances through integrated savings features
• –Access API-based banking infrastructure (Banking as a Service)

Certain Services may be subject to additional supplemental terms, which will be presented to you at the time of enrollment. If these Terms are inconsistent with Supplemental Terms, the Supplemental Terms shall control with respect to that Service.

Registration. To access certain features of the Services, you may be required to register an account ("Account"). You are responsible for all activities that occur under your Account and must maintain the confidentiality of your credentials.

Eligibility. You represent and warrant that:

• –You are at least eighteen (18) years old and of legal age to form a binding contract.
• –You are not barred from using the Services under the laws of the United States, your place of residence, or any applicable jurisdiction.
• –If acting on behalf of an entity, you have the authority to bind that entity to these Terms.
• –None of you, your affiliates, or any beneficial owner is listed on a sanctions list maintained by OFAC, OFSI, the EU, or any applicable sanctions authority.
• –You have not failed to comply with any applicable legal requirement relating to blockchain technologies, stablecoins, or token-trading activities.

Registration Data. You agree to provide true, accurate, current, and complete information when prompted. If you provide information that is untrue, inaccurate, not current, or incomplete, Monai has the right to suspend or terminate your access to the Services.

Risk of Financial Loss. Monai is not a financial or investment advisor. The Services entail a risk of loss and may not meet your needs. The prices of cryptocurrency assets, including stablecoins, can be extremely volatile. Monai makes no warranties as to the value or performance of any digital asset.

Stablecoin Risks. Stablecoins are digital assets issued by third parties, not by Monai. You acknowledge that: (a) a stablecoin may trade below and fail to return to its referenced value; (b) a stablecoin's value depends on the issuer's reserves, operations, and solvency; (c) stablecoin issuers may have the ability to freeze or blacklist tokens or addresses; and (d) your rights in respect of any stablecoin exist solely against the issuer. Monai shall have no liability for any loss arising from a de-peg, issuer freeze, issuer insolvency, or any other failure of a stablecoin or its issuer.

General Risks of Blockchain Technology. Blockchain technologies involve risks including, but not limited to, hardware, software, and Internet connection failures; cybersecurity breaches; regulatory uncertainty; network congestion; and smart contract vulnerabilities. You accept full responsibility for all activities through your use of blockchain-enabled features and accept all risks of loss to the maximum extent permitted by law.

No Deposit Insurance. Funds held in stablecoin balances are not insured or guaranteed by the FDIC, FSCS, or any other governmental or private deposit-insurance scheme. If your assets lose value or become inaccessible, no insurance or compensation scheme will reimburse you.

License. Subject to these Terms, Monai grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes only.

Restrictions. You shall not:

• –License, sell, rent, lease, transfer, assign, reproduce, distribute, or commercially exploit the Services.
• –Modify, translate, adapt, disassemble, decompile, reverse compile, or reverse engineer any part of the Services.
• –Use automated software, spiders, robots, or scrapers to download data from the Services.
• –Remove or destroy any copyright notices or proprietary markings.
• –Use the Services for any illegal, fraudulent, or harmful purpose.

Updates. Monai may update the Services at any time with or without notice. You may need to update third-party software to continue using the Services.

Monai and its licensors retain all right, title, and interest in and to the Services, including all intellectual property rights. Nothing in these Terms transfers to you any ownership rights. The Monai name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Monai or its affiliates. You must not use such marks without prior written permission.

You agree not to:

• –Use the Services for any illegal purpose or in violation of any applicable laws.
• –Engage in money laundering, terrorist financing, fraud, or sanctions evasion.
• –Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
• –Interfere with or disrupt the Services or servers or networks connected to the Services.
• –Attempt to gain unauthorized access to any portion of the Services or any other systems or networks.

Monai may charge fees for certain Services. Fees will be disclosed to you before you enroll in or use the applicable Service. Fees are subject to change upon thirty (30) days' notice. Your continued use of the Services after fee changes constitute your acceptance of the revised fees.

Third-party service providers (including banking partners, card issuers, and blockchain network operators) may also charge fees in connection with the Services. Monai is not responsible for third-party fees.

You agree to indemnify, defend, and hold harmless Monai, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of any third party; or (d) any claim that your use of the Services caused damage to a third party.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MONAI DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

MONAI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. MONAI DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT YOUR USE WILL BE COMPLIANT WITH APPLICABLE LAWS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MONAI, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

IN NO EVENT SHALL MONAI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THE SERVICES EXCEED THE AMOUNTS PAID BY YOU TO MONAI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These Terms are effective beginning when you first access the Services and continue until terminated. Either you or Monai may terminate these Terms at any time for any reason upon notice.

Monai may terminate or suspend your access to the Services immediately, without prior notice, for conduct that Monai believes, in its sole discretion, violates these Terms or is harmful to other users, Monai, or third parties.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership, disclaimer, limitation of liability, and indemnification provisions.

Governing Law. These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Monai is incorporated, without regard to conflict of law principles.

Dispute Resolution. Any dispute, claim, or request for relief relating in any way to your use of the Services shall be resolved through binding arbitration on an individual basis, except for claims that fall within the scope of your local consumer protection laws that cannot be submitted to arbitration.

Entire Agreement. These Terms, together with any Supplemental Terms and our Privacy Policy, constitute the entire agreement between you and Monai regarding the Services and supersede any prior agreements.

Changes. Monai reserves the right to modify these Terms at any time. If we make material changes, we will notify you by updating the date at the top of these Terms and posting the revised Terms on the Services. Your continued use of the Services after the effective date constitutes your acceptance of the revised Terms.

Severability. If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
